01 Acceptance of Terms
By accessing our website, submitting an inquiry, signing a service agreement, or using any service provided by Webthropic Technologies ("Webthropic", "we", "us", "our"), you ("Client", "you", "your") agree to be legally bound by these Terms of Service ("Terms").
If you do not agree with any part of these Terms, please do not use our services. We may amend these Terms from time to time, and continued use constitutes acceptance of revised Terms.
02 Eligibility
To engage Webthropic, you must:
- Be at least 18 years of age
- Have the legal authority to enter into binding contracts
- If representing a business, be authorized to bind that entity
- Provide accurate, current, and complete information
- Comply with all applicable Indian laws and regulations
03 Services Provided
Webthropic provides the following digital services:
- Web Development: Custom websites, e-commerce, web applications, landing pages, corporate websites, responsive design
- SEO Services: Website ranking, local SEO, e-commerce SEO, business listings, technical audits, content SEO
- Digital Marketing: Google Ads, Meta Ads, social media management, email marketing, WhatsApp marketing, content marketing
- Maintenance & Support: Hosting, technical support, ongoing optimization, content updates
Specific deliverables, timelines, and pricing are documented in individual service agreements or scope-of-work (SOW) documents executed between Webthropic and the Client.
04 Quotes & Engagement
- Validity: All quotes are valid for 30 days from the date of issue unless otherwise specified
- Acceptance: Engagement begins upon written acceptance of the quote/SOW and receipt of the agreed advance payment
- Scope Changes: Any changes to the agreed scope require a formal change request and may incur additional fees
- Communication: Primary communication will be via email, WhatsApp, or scheduled video calls. All approvals must be in writing.
05 Payment Terms
Standard Payment Structure
- 40% advance on project initiation
- 30% on design approval / midway milestone
- 30% on delivery / project completion
Other Terms
- Currency: Indian Rupees (โน/INR) for domestic; USD for international clients
- GST: 18% GST will be added to all invoices (Indian clients)
- Payment Methods: Bank transfer (NEFT/RTGS/IMPS), UPI, Razorpay, Cashfree
- Late Payment: Invoices overdue by more than 15 days incur a 2% per-month late fee. Work may be paused until cleared.
- Recurring Services: Monthly retainers (SEO, ads, maintenance) are auto-invoiced on the 1st of each month, payable within 7 days.
06 Intellectual Property
Client Materials
All content, logos, trademarks, images, and materials provided by the Client remain the Client's property. By submitting these to us, you grant us a license to use them solely for delivering the agreed services.
Deliverables
Upon full payment, all custom code, designs, and content created specifically for the Client become the Client's property, except:
- Pre-existing tools/frameworks: Open-source libraries and pre-built components remain under their original licenses (MIT, GPL, etc.)
- Webthropic templates & methodologies: Our proprietary frameworks, internal tools, and processes remain our property
- Third-party assets: Stock photos, fonts, and plugins purchased on the Client's behalf are licensed per their respective terms
Portfolio Rights
Unless explicitly requested otherwise in writing, we retain the right to display the completed work in our portfolio, case studies, and marketing materials.
07 Client Responsibilities
To enable successful delivery, the Client agrees to:
- Provide timely, accurate, and complete information and content
- Respond to approval requests within 5 working days (or as specified in SOW)
- Provide access to required accounts (hosting, domain, Google Analytics, ad platforms) when needed
- Ensure that all content provided does not infringe third-party rights
- Make payments per the agreed schedule
- Designate a single point of contact for the project
08 Warranties & Disclaimers
We warrant that our services will be performed with reasonable skill and care consistent with industry standards. However, we make the following disclaimers:
- SEO & Rankings: Search engine rankings depend on Google's algorithms which are outside our control. We cannot guarantee specific ranking positions.
- Ad Performance: Click-through rates, conversion rates, and ROAS depend on multiple factors (market, audience, creative, landing page quality). We optimize but cannot guarantee specific results.
- Third-Party Services: We are not responsible for downtime, policy changes, or actions of third-party platforms (Google, Meta, hosting providers, payment gateways).
- "As-Is" Basis: Beyond the express warranties above, services are provided on an "as-is" basis without other warranties, express or implied.
09 Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- Our total liability for any claim related to the services shall not exceed the fees paid by the Client in the 6 months preceding the claim
- We are not liable for indirect, incidental, consequential, or punitive damages including loss of profits, business interruption, or data loss
- We are not liable for damages caused by Client-provided content, Client-managed servers, or Client's use of the deliverables beyond their intended scope
This limitation does not apply to liability arising from gross negligence, willful misconduct, or breach of confidentiality.
10 Termination
By the Client
- You may terminate a project at any time with written notice
- You will be invoiced for all work completed up to termination date
- Advance payments are non-refundable for work already commenced (see Refund Policy)
By Webthropic
- We may terminate immediately for non-payment, breach of these Terms, or illegal/abusive conduct
- We may terminate with 30 days' notice for retainer services if continued engagement is not feasible
Effect of Termination
Upon termination: (i) outstanding invoices become immediately due, (ii) we will hand over completed work upon final payment, (iii) confidentiality obligations survive termination.
11 Governing Law & Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict-of-law principles.
Dispute Resolution Process
- Negotiation: Parties will first attempt to resolve disputes through good-faith negotiation (30 days)
- Mediation: If unresolved, parties will refer to a mutually-agreed mediator
- Arbitration: If mediation fails, disputes will be resolved by arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator and seat at Ranchi, Jharkhand
- Courts: Subject to arbitration, courts at Ranchi, Jharkhand have exclusive jurisdiction
Each party bears its own legal costs unless otherwise awarded by the arbitrator.
